Preamble


Veterly is a software platform (SaaS) developed by Bake One S.r.l. that enables new forms of collaboration between veterinary practices and pet economy brands (e.g., products, insurance, e-commerce, services).

The objectives of the Veterly Network are to:

  • improve the pet owner experience;

  • increase access to services and solutions that support animals’ health and well-being;

  • enhance the veterinarian’s central role in the client relationship;

  • create a sustainable and collaborative ecosystem among professionals and partners.

Joining the Network implies acceptance of these Terms and Conditions.

Art. 1 – Purpose of membership


Joining the Veterly Network entails a voluntary commitment to collaboration, which includes:

  • participation in the network of veterinary practices enabled by the platform;

  • collaboration during the onboarding phase of pet owners;

  • participation in the Network’s economic sustainability model;

  • use of the Veterly platform as a digital tool to support relationships with clients.

  • participation in the network of veterinary practices enabled by the platform;

  • collaboration during the onboarding phase of pet owners;

  • participation in the Network’s economic sustainability model;

  • use of the Veterly platform as a digital tool to support relationships with clients.

Art. 2 – Network Sustainability Model

The Veterly Network is financially supported by commercial partners who promote products or services through the channels enabled by the platform.

A portion of the revenues generated is allocated to the relevant veterinary practice associated with the pet owner, as recognition of the role played in the professional relationship.

Method for Allocating the Share

The veterinarian may choose to receive this share:

  • in monetary form (direct payment),

or

  • in the form of credits, services, digital tools, or benefits offered by the Network.

The allocated share will not be less than 20% of the net profits generated from transactions attributable to the pet owners associated with the practice.

The detailed operational arrangements will be governed by a subsequent final agreement.

Art. 3 - Professional Autonomy and No Exclusivity


Join the Network:

  • does not entail any exclusivity obligation;

  • does not require the recommendation of specific brands;

  • does not in any way limit the veterinarian’s clinical and professional autonomy.

The veterinarian retains full independence in assessing the most suitable solutions for each individual case.

Art. 4 – Veterinarian’s Commitments


By joining the Network, the veterinary practice undertakes to:

  • provide Veterly with the list of active pet owner clients, in compliance with the GDPR;

  • cooperate in the first onboarding informational campaign;

  • subscribe to one of the available subscription packages at pricing page.

Art. 5 – Data processing

Veterly will act as the independent data controller for the data received.

It undertakes to:

  • use the data exclusively for the purposes of onboarding and managing the Network;

  • obtain explicit consent before sending promotional communications;

  • not send commercial communications without consent.

The veterinarian undertakes to:

  • actively use the platform;

  • participate in onboarding and training activities.

Art. 7 – Permanent Discount for Network Members


Veterinary practices that join the Network benefit from a permanent 50% discount on the Veterly subscription fee, applicable as long as active membership in the Network is maintained.

In the event of withdrawal or termination of membership, the benefit will automatically cease.

Membership in the Network lasts 12 months from the date of acceptance and renews automatically.

Either party may withdraw by giving at least 30 days’ written notice.

Withdrawal entails:

  • termination of the permanent discount on the subscription;

  • any potential loss of benefits connected to the Scientific Committee and the SFPs.

  • termination of the permanent discount on the subscription;

  • any potential loss of benefits connected to the Scientific Committee and the SFPs.

Art. 9 – Veterly Scientific Committee


Veterly will establish a Scientific Committee composed of a maximum of 10 veterinary practices, selected at the company’s sole discretion from among Network members.

Selection will be based on qualitative criteria, including:

  • professional experience;

  • active use of the platform;

  • alignment with the project’s vision and objectives;

  • willingness to collaborate on an ongoing basis.

Appointment is neither automatic nor based on chronological order of membership.

Art. 9 – Veterly Scientific Committee


Veterly will establish a Scientific Committee composed of a maximum of 10 veterinary practices, selected at the company’s sole discretion from among Network members.

Selection will be based on qualitative criteria, including:

  • professional experience;

  • active use of the platform;

  • alignment with the project’s vision and objectives;

  • willingness to collaborate on an ongoing basis.

Appointment is neither automatic nor based on chronological order of membership.

Art. 10 – Role of the Scientific Committee

Members of the Scientific Committee undertake to:

  • actively use the platform;

  • ensure active adoption by at least 50 pet owners, once the digital triage feature becomes available, and maintain it for the entire relevant period;

  • take part in periodic meetings with Veterly’s co-founders (maximum 1 hour per month), individually or jointly, aimed at the continuous improvement of the platform.

Any unavailability may be made up, provided that substantial continuity of commitment is ensured over the period considered.

For the entire duration of their participation in the Scientific Committee, each member undertakes not to assume analogous roles—such as advisory, testimonial, or structured collaboration—with direct competing digital platforms of Veterly operating in the same area of veterinary telemedicine, digital triage, or an integrated marketplace between veterinarians and pet owners.

This provision:

  • does not limit the veterinarian’s clinical and professional autonomy;

  • does not prevent collaborations with brands, suppliers, or companies that cannot be considered direct competing SaaS platforms of Veterly.

Continued membership in the Committee is an essential requirement for the benefits set out in Article 11 below.

Members of the Scientific Committee undertake to:

  • actively use the platform;

  • ensure active adoption by at least 50 pet owners, once the digital triage feature becomes available, and maintain it for the entire relevant period;

  • take part in periodic meetings with Veterly’s co-founders (maximum 1 hour per month), individually or jointly, aimed at the continuous improvement of the platform.

Any unavailability may be made up, provided that substantial continuity of commitment is ensured over the period considered.

Art. 11 – Participating Financial Instruments (SFP)


Members of the Scientific Committee may be granted the right to accrue “Strumenti Finanziari Partecipativi” (Participating Financial Instruments – “SFPs”) issued by Bake One S.r.l., subject to the following cumulative conditions:

  • a vesting period of 24 consecutive months;

  • maintaining an active Veterly subscription for the entire vesting period;

  • ongoing compliance with the adoption and participation requirements set out in Articles 9 and 10;

  • ongoing compliance with the incompatibility clause set out in Article 10.

Accrual may occur up to a maximum of 0.5% of the current share capital of Bake One S.r.l., in tranches of 0.25% for each year of full and continuous compliance with the requirements.

The SFPs will be deemed fully vested and exercisable exclusively upon completion of the full 24-month vesting period.

Withdrawal from the Network, termination of the subscription, loss of the above requirements, or breach of the incompatibility clause will automatically result in forfeiture of any right to accrue SFPs, without entitlement to any conversion or compensation.

The operational terms for the issuance, governance, and conversion of the SFPs will be regulated by a specific corporate regulation.
